Press Release

NCR Completes Acquisition of Stirling Douglas Group

July 14, 2000 at 9:04 AM EDT

TORONTO, July 14 /PRNewswire/ -- Building upon a strategic partnership which began in September 1998, NCR Corporation today announced it has acquired the remaining 50 percent of Stirling Douglas Group Inc. (SDG), a leading demand chain management application software firm based near Toronto, Canada. SDG will operate as an independent company owned by NCR Corporation.

The acquisition, effective immediately, enhances NCR's ability to offer business-to-business e-commerce solutions between retailers and suppliers through real time inventory management while reducing overhead costs. According to SDG estimates, companies using automated replenishment solutions can increase sales by 5% - 10% and reduce inventory investments by up to 25% while significantly improving customer service levels down to the SKU level.

When SDG's intelligent forecasting software is combined with an NCR Teradata(TM) Active Warehouse, managers can interrogate and act on vast amounts of data not previously available and make decisions faster, more frequently and with greater accuracy.

"This acquisition is a natural evolution of our strategic partnership and benefits both companies," said Rick Schultz, vice president of retail industry marketing for NCR's Teradata Division. "NCR's global customer base lends enormous growth opportunities to SDG, while SDG's demand chain management software helps NCR data warehouse customers shift from selling what they buy- using promotions to move products-to buying what they sell-stocking their stores in anticipation of customer demand."

"NCR strengthens and validates the value of our applications and provides Stirling Douglas Group a conduit for long-term growth and confidence for our customers regardless of platform," said Tim Simmons, executive vice president, sales and marketing, SDG.

The NCR-SDG partnership already serves major customers throughout the world including The Warehouse Limited (New Zealand) and Gigante (Mexico). The Teradata Active Warehouse Solution integrates NCR and SDG technology, applications, business consulting, and professional and customer services in 130 countries worldwide. In addition to its Teradata platform offering, SDG plans to continue to offer its solutions on IBM and Oracle platforms. Existing SDG delivery dates and customer commitments will be honored.

Terms of the cash transaction were not disclosed. NCR plans to retain SDG's 100-plus existing employees.
