Disclosure Policy

In the spirit of the Securities and Exchange Commission's (SEC) Regulation Fair Disclosure ("Reg FD"), NCR's quarterly earnings releases provide forward looking guidance information. Additionally, all of NCR's investor related conference calls are open to anyone who wishes to listen. Conference calls are accessible via NCR's web site. NCR may provide additional commentary regarding earnings information and/or guidance on these public conference calls.

However, in accordance with Reg FD, during the quarter, discussions with investors and analysts will be limited to the information previously disclosed in public venues such as press releases, open conference calls, web casts, and SEC filings.

During the quarter, NCR will continue to talk with all interested parties about the company and its business units in general terms; however, no new material information will be provided during such phone conversations, one-on-one meetings or company presentations. This includes comments about business trends and/or the company's progress during the quarter.

Should NCR have new material information to provide, this information will be disseminated via a formal press release to ensure public disclosure.

On the 15th day of the third month of each quarter, NCR will enter a "quiet period" which will last until the quarterly earnings have been publicly released. During the quiet period, NCR will not participate in any further conversations that relate to the company's financial performance or current business activity.
